Repeat in each state where the company claims to operate.

Every state exposes a public business search, so the lookup itself is trivial. For a BSA program, though, "verify business registration" means more than finding a name match — the registry confirms existence, and everything that matters for risk comes from what you compare the registry data against.

Step by step

Identify the formation state. Take it from formation documents provided at onboarding, not from the applicant's stated headquarters — the two frequently differ, legitimately (Delaware, Wyoming, Nevada formations are routine) and otherwise.
Search the registry for the exact legal name or file number. Prefer the file number when you have it. Watch for lookalike names: a filing one character off from a known company is a classic impersonation pattern.
Confirm status. "Active" or "in good standing" is the baseline. "Dissolved," "revoked," "forfeited," or "not found" means stop and resolve before the relationship proceeds.
Pull the filing history. Formation date, amendments, reinstatements, and officer changes. Compare the formation date against the operating history the customer claims — this is one of the highest-value checks in the whole process.
Check the registered agent and addresses. Note whether the principal address is a real operating location or only the agent's address, and whether it matches the application.
Verify foreign qualification. If the company claims operations in other states, look for its registration as a foreign entity in those registries. Absence is not always disqualifying, but it should match the story.
Corroborate outside the registry. EIN/TIN matching against IRS records, applicable licenses, a real-world footprint, and sanctions screening of the entity and its principals.

What the registry will not tell you

State filings establish that an entity exists. They do not establish who owns it — which is exactly why the CDD Rule puts that burden on you:

FinCEN spelled out the registry gap in its shell company guidance, and the description still holds:

FinCEN's advisory lists address problems among the elements repeatedly cited in SARs involving shell companies — including businesses that "share the same address, provide only a registered agent's address, or raise other address-related inconsistencies." In practice, these patterns are worth codifying:

Formed weeks ago, claims years of operating history (filing history vs application): front company or recycled shell.
Name spelled slightly differently than documents (registry search): lookalike or fabricated entity.
Status revoked or dissolved but "operating" (status field): lapsed entity being reused.
Principal address is only the registered agent's, no other footprint (filings plus open sources): mail-drop presence.
Same principals or principal address across many unrelated entities (cross-entity search): nominee arrangements.

A note on registered agents

One pattern from real onboarding queues: naive address-matching rules bury analysts. National commercial registered agents put a single address on an enormous number of entirely legitimate filings — including much of corporate America's Delaware paper. If your logic flags "address shared by many entities" without first classifying known commercial agent addresses, nearly every well-advised corporate customer becomes an alert.
