Why shell company red flags matter more, not less, in 2026

The joint FATF–Egmont Group study of more than 100 concealment cases across 34 jurisdictions remains the best empirical baseline for what misuse actually looks like:

The regulatory backdrop just shifted underneath this. Formation and registration

Registered address shared with dozens or hundreds of other entities — typically a trust and company service provider managing shells in bulk.
Post-box-only address, or a purchased "corporate presence" package: local street address, staffed reception, phone listing, and voicemail with no actual operations behind them.
No personnel, or a single individual listed for every role across multiple entities.
Recent formation — or a shelf company purchased with years of "history" — immediately followed by high-value transaction activity.

Ownership and control

Formal nominee directors and shareholders, including "mass" nominees who appear across large numbers of unrelated companies.
Informal nominees — spouses, children, relatives, or associates with no visible role in running the business.
Layered structures in which LLCs are owned by other entities across multiple jurisdictions, with no commercial rationale for the complexity.
A nominee bank signatory — often a lawyer or accountant — relaying instructions from beneficial owners who are never disclosed to the bank.

Transaction behavior

Inability to identify the originators or beneficiaries of wire transfers, even after direct inquiry — cited repeatedly in SAR data per FinCEN's 2006 guidance.
Volume that exceeds the anticipated profile, or sporadic bursts of high activity inconsistent with any normal business pattern.
No tax, payroll, or social-benefit payment footprint despite claimed operations.
Funds passing through multiple layers of related entities before being withdrawn in cash or sent offshore.

"Shell companies can be difficult to detect, as their incorporation is often no different from companies formed for other purposes; however, there are a number of characteristics and indicators that may indicate that a company is a shell, including the use of only a post-box address, a lack of personnel (or only a single person as a staff member), and a lack of payments in taxes and/or social benefit payments."

Turning shell company red flags into a working process

Every analyst can recite most of the list above. The programs that actually catch shells are the ones that operationalize it:

Screen formation indicators at onboarding — registered-agent address reuse, nominee patterns, entity age — and record what was checked, not just the outcome.
Corroborate independent existence: web and operational footprint, physical premises, licenses, tax registration. Absence of evidence is itself a data point.
Document expected activity in structured fields — counterparty types, corridors, monthly volume ranges — not free text.
Monitor against that expectation, so behavioral red flags land on a baseline instead of an analyst's intuition.
Escalate to EDD when flags converge across two or more categories, and re-run the formation checks at every periodic refresh — ownership structures mutate.

What is the difference between a shell company and a front company?

A shell has no meaningful operations or physical presence and generates little independent economic value. A front company runs a real, operating business and uses it to commingle and disguise illicit funds. How many shell company red flags justify filing a SAR?
